ChiroRing Practitioner Agreement

1Programme period and pricing

The Programme runs for 12 months from the date you accept this agreement. You agree to pay the early adopter rate you select at checkout: USD $249 per month, or USD $2,490 per year (payable in advance, two months free versus monthly). This is a discounted rate from the standard platform subscription of USD $349 per month.

As a reward for early adoption, your discounted rate is locked in for life. You will never be charged the standard rate for as long as you remain an active subscriber.

Monthly subscriptions are billed automatically on your monthly billing date. Annual subscriptions are billed upfront. If a payment remains unpaid 14 days after it is due, we may suspend platform access until it is settled.

2What ChiroRing provides

• Access to the full practitioner platform, including the patient data dashboard, NeuroAdaptive Index™ (NAI™) tracking, and research tools.
• ChiroRing hardware devices at the per-ring price displayed at checkout. The quantity you select and the total hardware cost are confirmed at checkout. The rings are yours to keep and do not need to be returned.
• Onboarding support and training.
• A dedicated support channel with response within 2 business days.
• Platform updates and new features released during the Programme.

3What you provide

In consideration of the discounted rate, you agree to:

• Actively use the platform and ChiroRing devices with a minimum of 5 patients during the Programme.
• Obtain in-app research consent from all participating patients, enabling anonymised data to be used by ChiroRing for research and platform improvement.
• Complete a brief quarterly feedback survey (about 10 minutes).
• Participate in at least one recorded feedback session (a 30-minute video call) during the Programme.
• Provide a written or video testimonial for use in ChiroRing marketing materials, subject to your review and approval before publication.

4Patient research consent and data

All patient data collected through the ChiroRing platform is anonymised before use in any research or analysis. ChiroRing will never share identifiable patient data with any third party. You are responsible for ensuring each participating patient provides in-app research consent before their data is used for research purposes. ChiroRing complies with applicable data protection laws, including Singapore's PDPA.

Patient clinical data remains accessible to you at all times while your subscription is active. If you leave the platform for any reason, access to all patient data held within the ChiroRing platform ceases immediately when your subscription ends. Export any records you need before cancelling.

5Intellectual property

All platform software, the NeuroAdaptive Index™ (NAI™) algorithm, and any data collected through the platform remain the exclusive intellectual property of ChiroRing. Participation in the Programme gives you no rights to the platform, its underlying technology, or any aggregated research data. Feedback and suggestions you provide may be incorporated into the platform at ChiroRing's discretion without compensation.

6Testimonials and marketing

You agree to provide one testimonial during the Programme. ChiroRing will share the draft with you for approval before publishing. You may request edits or withdraw consent for publication at any time before the testimonial goes live. Once published, 30 days notice is required to remove a testimonial from active marketing materials. ChiroRing may reference your practice name and location as an early adopter unless you request confidentiality in writing.

7Confidentiality

You agree to keep the following confidential during the Programme and for 12 months after it ends: platform features not yet publicly announced, pricing structures, and any proprietary methodology discussed during onboarding or feedback sessions. ChiroRing agrees to keep all patient data and practice-specific information strictly confidential in accordance with clause 4.

8After the first 12 months

At the end of the 12-month Programme, your discounted rate continues automatically. It is locked for life as a reward for early adoption; the standard rate of USD $349 per month will not apply to you for as long as you remain an active subscriber. If you choose not to continue, platform access ends with your subscription. No hardware return is required.

9Termination

Either party may end this agreement with 30 days written notice. If you end it early, any annual fee paid is non-refundable for months already used; monthly subscribers owe nothing beyond the current billing month. Hardware does not need to be returned. If ChiroRing ends the agreement early without cause, we will issue a pro-rata refund of any prepaid annual fee within 14 days. ChiroRing may terminate immediately if you materially breach this agreement, including failure to pay or misuse of the platform.

10Early-stage product and limitation of liability

ChiroRing is an early-stage product that will develop and change during the Programme and beyond. Features may be added, modified, or removed, and the platform and hardware will improve over time based on feedback. ChiroRing will make every reasonable effort to mitigate and resolve hardware or software faults, shipping delays, battery performance issues, and connectivity or synchronisation issues, which you understand are reasonable growing pains of an early-stage technology company. Response times and resolutions are not guaranteed, but ChiroRing commits to communicating openly and acting promptly.

ChiroRing's liability is limited to the fees you paid in the 3 months before any claim. The NeuroAdaptive Index™ (NAI™) is a clinical support tool only and does not replace professional clinical judgement. ChiroRing is not liable for any clinical decisions made using platform data.

11Governing law

This agreement is governed by the laws of Singapore. Any dispute will first be referred to mediation; if unresolved, it is subject to the exclusive jurisdiction of the Singapore courts.
